Call for LCTS Board Nominations (Closed)

WANT TO GET INVOLVED?  IT’S TIME TO ACT!

The Community Outreach Committee is inviting community members to stand for office for the board of the Langham Court Theatre Society.

The next Annual General Meeting will be held November 14, 2021.  The positions available are as follows:

President

  • is the Chief Executive Officer of the Society and is responsible for supervising the other directors in the execution of the duties;
  • serves as Chair at Board meetings, unless otherwise decided by the board;
  • Presides at general meetings of the Society whenever possible, except as set out in bylaw 5.2(1)(b);
  • Is ex officio a member of all committees of the Society;
  • Is a signing office of the Society, as set out in bylaw 10.1(3);
  • Signs every instrument to which the Seal of the Society is affixed, as set out in bylaw 12.3; and
  • Normally remains on the Board as immediate Past President during the term, or consecutive terms, of the individual who succeeds him or her as President.

Secretary, responsible for doing, or making the necessary arrangements for, the following:

  • issuing notices of general meetings and directors’ meetings;
  • taking minutes of general meetings and directors’ meetings;
  • keeping the records of the Society in accordance with the Act; conducting the correspondence of the Board or delegates this task to an approved representative;
  • in the absence of the President and Vice President at a meeting, the Secretary is responsible for calling the meeting to order and conducting an election of a Chair of the meeting;
  • is a signing officer of the Society; and
  • assures the filling of the annual report of the Society and making any other filings with the registrar under the Act.

Treasurer

  • is directly responsible to the Board for administering the financial affairs of the Society;
  • is responsible for the maintenance of proper accounting records in respect of all financial and other transactions of the Society;
  • is responsible for the collection of all monies payable to the Society;
  • is responsible for the banking of the Society’s funds;
  • is responsible for the payment of the Society’s accounts;
  • is responsible for rendering financial statements and other financial information to the Society or the Board, as required, and for the preparation of the Society’s financial records for its annual examination;
  • may, as the Treasurer deems appropriate, delegate the specific performance of the duties set out in bylaws 6.3 (5) (a) to (f) above to the Manager, but the Treasurer remains ultimately responsible for the execution of these duties;
  • is ex officio a member (normally the Chair) of the Finance Committee;
  • is the signing officer of the Society, as set out in bylaw 10.1(3); and
  • may sign, with the President as a witness, an instrument to which the Seal of the Society is affixed, as set out in bylaw 12.3.

Member at Large (3 positions)

  • shall be responsible for chairing one of the regular or optional standing committees of the Society,
  • is responsible for such duties as are assigned to them by the Board, with their consent

Langham’s journey towards creating equity and diversity in our theatre is an ongoing process, in which we continue to learn and grow. We recently made a public commitment to make the theatre a safe space for racially marginalized communities. With this in mind, we welcome anyone to consider standing for the board.

Our bylaws require candidates, nominators and seconders to all be members of the theatre. It’s easy to become a member before the AGM and we can connect you with nominators.
